Simple URL Shortener is a trading name for Tenno Networks Ltd. ("Simple URL Shortener" “the company”,“we” or “our”) provides URL shortening, custom-branded link, and link management and analytics products and services to its users (collectively, the “Simple URL Shortener Services”). Please read these Terms of Service (the “Agreement”) carefully, as they govern your access to and use of the Simple URL Shortener's Services and constitutes a binding legal agreement between you and the company. If you accept this Agreement or use the Simple URL Shortener's Services on behalf of a company or other legal entity, you represent and warrant that you have the authority to bind that company or other legal entity to the Agreement and, in such event, “you”, “your” and “Customer” will refer and apply to that company or other legal entity. If you have been granted access to and use of the Simple URL Shortener's Services by and on behalf of the primary account holder, whether directly or through an administrator, you also agree to abide by this Agreement. In addition to this Agreement, Customer’s use of the Simple URL Shortener's Services is governed by the company Privacy Policy and company’s DMCA Policy.

YOU ACKNOWLEDGE AND AGREE THAT, BY CREATING A SIMPLE URL SHORTENER ACCOUNT OR ACCESSING OR USING THE COMPANY SERVICES, YOU ARE INDICATING THAT YOU HAVE READ, UNDERSTAND AND AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE TO THESE TERMS, THEN YOU HAVE NO RIGHT TO ACCESS OR USE THE SIMPLE URL SHORTENER´S SERVICES. THIS AGREEMENT AND ITS TERMS SHALL BE DEEMED VALID FOR THE CUSTOMER AND ALL PRODUCTS AND SERVICES OFFERED/DELIVERED BY SIMPLE URL SHORTENER.

Strict Anti-Spam Policy

All web addresses are automatically filtered through various spam and malware scanners. We reserve the right to disable any URL that we suspect is being used for spamming/illegal purposes... ban the user and report to ISP involved. The following types of links and use of our services is prohibited and may be considered abuse:

• Domains listed in the URI Block Lists such as (URIBL) (SURBL) or (SPAMHAUS).


• Sites blacklisted in Google Safe Browsing or with other phish/malware tracing methods.


• Links containing URL shortening domains (chaining of redirects or anonymizers).


• Links to criminal content such as "counterfeit pages," "phishing pages."


• Links to material containing viruses, adware, spyware, or other malicious code.


• Links that infringe a copyright, patent, trademark or trade secret.


• Use in unsolicited or unauthorized email or SMS text messages.


• Comment or advertising spam posted on blogs, forums, IM, social networks, etc.


• Hacking/cracking, pornography, drug, alcohol or tobacco-related, weapon-related.


• Unlawful, fraudulent, violent, harassing, obscene or otherwise objectionable material.

Scope of service

• Right to modifictions.
  The company reserves the right, in its sole discretion, to modify or replace this Agreement at any time. If we modify these Terms, we will post the modification on our site or provide you with notice of the modification on your the company Account Details page. By continuing to access or use the the company Services after the effective date of the modification, you are indicating that you agree to be bound by the modified Agreement. Customer agrees that it is Customer’s responsibility to check this Agreement periodically for changes and that its use of the the company Services following the posting of any changes to this Agreement constitutes acceptance of those changes. If the modified Agreement is not acceptable to you, your only recourse is to cease using the the company Services.


• Scope & Current Offerings
  As of the Effective Date, the company offers certain the company Services to Customer. the company may add, remove, suspend, discontinue, modify or update the the company Services at any time, at its discretion. After the effective date of such update, the company shall bear no obligation to run, provide or support legacy versions of the the company Services.


• Compliance Monitoring.
  The company may monitor Customer’s use of the the company Services for compliance with the Agreement. If the company observes usage of the the company Services that it believes are not in compliance with the Agreement, the company will notify the Customer and give the Customer five (5) business days to remedy its non-compliance. If Customer does not remedy its non-compliance within five (5) business days, the company reserves the right to suspend or terminate Customer’s use of the the company Services. the company reserves the right to suspend Customer’s use of the the company Services without notice in the event that it believes, in good faith, the security of Customer’s the company account has been compromised, or the Customer’s the company account is being used for an unlawful purpose. And may suspend or terminate Customer’s access to the Services without notice for violation of the Agreement.

Paid Tier/Products & Services

• Fees & charges.
  Simple URL Shortener offers fee-based Simple URL Shortener Services that provide additional features and functionality. Pricing and services for paid accounts are described on Simple URL Shortener’s Services pricing page and may be updated from time to time. If you sign up for a paid account, you agree to pay Simple URL Shortener all applicable fees for the tier of Simple URL Shortener Services according to your selection. Fees are non-refundable except as required by law or as otherwise specifically permitted in this Agreement. Please see the section about refund policy for more information.


• Auto-renewals and Trials.
  If your account is set to auto-renew or is in a trial period and you have already provided a method of payment to Simple URL Shortener for the Services, Simple URL Shortener will charge your payment account automatically at the end of the trial or beginning of each renewal term for the renewal term, unless you notify us that you want to cancel or disable auto-renewal before the expiration of the then-current term. However Simple URL Shortener does not currently offer any customer trials. The product is instantly activated without any trial period. You may terminate the Agreement in your account’s Account Details page, or, if you purchased your Service through Simple URL Shortener's online account management page by contacting your Simple URL Shortener account representative.


• Customer Payments.
  Customer will pay Simple URL Shortener invoices on the payment interval selected. If not otherwise specified, payments will be due immediately. Customer authorizes Simple URL Shortener to charge Customer for all applicable Fees using Customer’s selected payment method through Simple URL Shortener’s current online payments platform PayPal Inc, (https://paypal.com). Customer will provide complete and accurate billing and contact information to Simple URL Shortener. Simple URL Shortener may suspend or terminate the Services if Fees are past due. Unpaid Fees are subject to a finance charge of one percent (1.7%) per month (19% per annum), or the maximum permitted by law, whichever is lower, plus all expenses of collection, including reasonable attorneys’ fees.


• Taxation/Sales Tax.
  The company operates and is incorporated and registered in the British Overseas Territory of Gibraltar with company number 114829 and by Gibraltar Law is therefore not a subject to sales taxes. Therefore no sales tax/or foreign tax is applied to the sold product/invoices. Thus the company cannot and will not issue any tax invoices to the customer.


• Downgrading product tier.
  Simple URL Shortener reserves the right to downgrade, suspend or terminate Customer’s access to any or all Simple URL Shortener Services if Fees are past due. Simple URL Shortener does not reimburse for downgrades from higher product tier which is paid for a speficfed period.


• Refund Policy.
  We make our maximum efforts to keep our clients 100% satisfied. In any case if a client wish to get a refund, here are our refund policies. For clients who wish to request a refund after making the payment, they should apply for a refund within 5 business days of making the payment through our contact form. Simple URL Shortener does offer a 5 day refund policy on purchased and delivered digital products and services from the date of purchase. No questions asked. We do not offer trials. If you like to test our product then open a free account and use that to try our service for as long as you like


• Simple URL Shortener is entitled to the following money as processing fee on refunds.
  For a refund of $50 or less - Processing fee of $4.5 would be deducted
  For a refund of $100 or less - Processing fee of $9 would be deducted.
  For a refund of any amount in excess of $100 a processing fee of $15 and 10% on any amount in excess of US$100 would be deducted and the rest would be paid to you.

Terms and Termination of Service/Product

• Agreement Terms
  This Agreement shall commence on the date the Customer accepts this Agreement by creating an account or purchasing a paid service tier (“Effective Date”) and remain in effect for the duration of the term selected by Customer, unless otherwise terminated as permitted herein (“Initial Term”). If your paid account is set to automatically renew, please see section the auto-renewal terms in this document.


• Right to Terminate
  Simple URL Shortener may terminate this Agreement immediately in its discretion. Upon expiration or termination of this Agreement, all applicable rights and access granted to Customer shall automatically terminate and Customer and its Personnel shall cease any further use of the Simple URL Shortener Services and return, or, if directed by Simple URL Shortener, destroy, all Confidential Information of Simple URL Shortener. Any Section of this Agreement which by its nature would survive such expiration or termination shall so survive.

Use of Our API

• Apply Tecnical limitations.
  Simple URL Shortener reserves the right terminate this agreement and apply technical limitations.
  If Simple URL Shortener considers that the Customer in such a way abuses and exceed a reasonable number and/or frequency of API calls, concurrent URL shortens or other access, or by sending an excessive amount of api calls to our API which can degrade our service. Simple URL Shortener may monitor and block/suspend the Customer's API access if Simple URL Shortener deems that the Customer abuses the service. Simple URL Shortener reserves the right monitor the Customer's of if our services at all times and without any notification to the Customer, to ensure that the Customer is in compliance with this agreement.

Judicial and Legislative Disputes

• Jurisdiction.
  This Agreement shall be governed by and construed in accordance with the laws of Gibraltar and the “Each of the parties hereby agrees to submit to the exclusive jurisdiction of the Gibraltar Courts in relation to any dispute regarding this Agreement, except to the extent that we may, in our sole discretion, invoke the jurisdiction of the courts of any other country.


• Limited Liability.
  Simple URL Shortener shall have no liability for any Customer economical or financial loss or for the Customers use of any product or service accessed through or making use of the Simple URL Shortener Services or by any end user, customer or Personnel’s use thereof (“Customer Service”).


• Integrity of our company brands,products & services:
  Customer shall not use the Simple URL Shortener Services in any manner implying any partnership with, sponsorship by, or endorsement of the Customer Service by Simple URL Shortener. Customer shall not suggest or imply that Simple URL Shortener is the has any connection or relation with the customer without the expressed written permission.


• Force Majeure
  Neither party shall be held liable or responsible to the other party nor be deemed to have defaulted under or breached this Agreement for failure or delay in fulfilling or performing any term of this Agreement to the extent, and for so long as, such failure or delay is caused by or results from causes beyond the reasonable control of the affected party including but not limited to fire, floods, embargoes, war, acts of war (whether war be declared or not), acts of terrorism, insurrections, riots, civil commotions, strikes, lockouts or other labor disturbances, acts of God or acts, omissions or delays in acting by any governmental authority or the other party.
